1. About these Terms
These Terms of Service explain the conditions that apply when you:

engage us to provide Home Support;

use our Personal Assistant introduction service; or

engage us for staffing or recruitment services.
Please read these Terms carefully before using our website or entering into an arrangement with us.
In these Terms:

“Bluebell Haven Care”, “Bluebell”, “we”, “us” and “our” mean Bluebell Haven Care Ltd;

“you” and “your” mean the person, representative, family member, organisation or other party using the website or requesting a service;
-
“consumer” means an individual acting mainly for purposes outside their trade, business, craft or profession;
-
“organisation” or “hirer” means a business, charity, public body, care provider or other professional customer requesting staffing or recruitment services;
-
“worker” means a person employed, engaged, supplied or introduced in connection with one of our services; and
-
“Personal Assistant” or “PA” means a person introduced to an individual or family through our Personal Assistant introduction service.

3. Acceptance of these Terms
By accessing or using our website, you agree to comply with the website-use provisions of these Terms.
Using the website or submitting an enquiry does not, by itself, mean that Bluebell Haven Care has accepted a request or agreed to provide a service.
A contract for a paid service will only be formed when we have:

reviewed the request;
-
confirmed that the service falls within our scope;
-
provided the applicable service information and charges;
-
confirmed that we are able to accept the arrangement; and
-
issued or agreed a booking confirmation, service agreement, staffing agreement, introduction agreement or other written confirmation.
Where acceptance, a signature, payment or another action is required before the service begins, the contract will not take effect until that requirement has been completed.
4. Relationship with other agreements and policies
These Terms should be read alongside any relevant:

Home Support service agreement;

Personal Assistant introduction agreement;

temporary staffing agreement;

permanent recruitment agreement;

booking confirmation;

quotation;
-
invoice;
-
support plan;
-
assignment schedule;
-
Privacy Policy;

Safeguarding Policy;

Complaints and Feedback Procedure; and

Refund Policy.
A service-specific agreement may contain more detailed provisions about responsibilities, fees, notice periods, cancellation, replacement workers, introduction fees and termination.
Where there is an inconsistency:

applicable law will take priority;
-
the service-specific agreement or booking confirmation will take priority in relation to the particular service; and
-
these general Terms will apply to matters not addressed in the service-specific agreement.
Nothing in these Terms removes or restricts any legal right that cannot lawfully be excluded.
5. Our services
Bluebell Haven Care currently provides different service routes for individuals, families and organisations.
The exact service scope, responsibilities and charges will be confirmed before a service begins.
5.1 Home Support
Our Home Support service may include agreed assistance with:

companionship and conversation;
-
shopping and local errands;
-
planning and preparing simple meals;
-
light household tasks;
-
community access;
-
attending appointments or activities;
-
maintaining everyday routines; and
-
promoting confidence, wellbeing and independence.
Unless Bluebell Haven Care expressly confirms otherwise in a separate written agreement, our current Home Support service does not include:
-
regulated personal care;
-
washing, bathing or dressing a person;
-
toileting or continence care;
-
nursing care;
-
clinical treatment;
-
medication administration;
-
invasive procedures;
-
tasks requiring a registered healthcare professional; or
-
financial management or control of a client’s money, other than limited assistance specifically authorised and recorded for an agreed practical task.
We will explain the service boundaries before support begins.
If a person’s needs fall outside our current Home Support scope, we may decline the request, recommend that appropriate professional advice is obtained or discuss a different service pathway where available.
5.2 Personal Assistant introductions
Our Personal Assistant introduction service helps individuals and families search for and consider potential Personal Assistants.
Depending on the agreed service package, this may include:

discussing the support requirement;
-
preparing a search profile;
-
advertising or sourcing candidates;
-
reviewing applications;
-
completing the checks expressly described in the service agreement;
-
sharing suitable candidate information;
-
arranging introductions or interviews; and
-
providing agreed guidance during the selection process.
Unless a separate written agreement expressly states otherwise:
-
Bluebell Haven Care acts as an introduction service;
-
the client chooses whether to employ or engage a proposed PA;
-
the client and PA agree their working arrangement directly;
-
the client is responsible for the PA’s ongoing instructions, working hours and day-to-day activities;
-
the client is responsible for meeting any employer, tax, payroll, insurance, pension, health and safety or employment-law responsibilities that apply to their arrangement;
-
Bluebell Haven Care does not employ the PA on the client’s behalf; and
-
Bluebell Haven Care does not provide ongoing direction, supervision or control over the PA after the introduction.
We do not provide, direct, supervise or manage personal care delivered under a client-led PA arrangement unless this is expressly agreed in writing and Bluebell Haven Care is legally authorised to provide that service.
An introduction does not guarantee that:
-
a candidate will accept the position;
-
a client will select a candidate;
-
the parties will agree employment or engagement terms;
-
a proposed arrangement will begin;
-
a PA will remain available indefinitely; or
-
a particular personal or working relationship will be successful.
We will, however, perform the agreed introduction service with reasonable care and skill.
5.3 Staffing and recruitment for organisations
Our organisational services may include:
-
temporary staffing assignments;
-
planned workforce support;
-
temporary-to-permanent arrangements;
-
permanent recruitment;
-
fixed-term recruitment; and
-
candidate sourcing and introduction.
Submitting a staffing enquiry does not guarantee that a worker or candidate is available.
Before proceeding, the organisation must provide accurate information about:
-
its identity and service setting;
-
the role and main duties;
-
the proposed start date and duration;
-
working hours and shift patterns;
-
the workplace location;
-
the experience, training and qualifications required;
-
any professional registration requirements;
-
health and safety risks;
-
safeguarding considerations;
-
whether the role involves working with children or adults at risk; and
-
any other information reasonably required to assess the assignment.
Temporary staffing and permanent recruitment are different arrangements and may be subject to different agreements, responsibilities and fees.
For temporary assignments, the hiring organisation will normally be responsible for:
-
providing an appropriate local induction;
-
explaining workplace rules, policies and emergency procedures;
-
providing a safe working environment;
-
completing appropriate risk assessments;
-
providing necessary equipment and personal protective equipment;
-
directing the worker’s day-to-day activities;
-
providing suitable supervision;
-
keeping Bluebell Haven Care informed of changes to the assignment;
-
reporting incidents, safeguarding concerns and performance issues promptly; and
-
accurately recording or approving hours worked.
The detailed responsibilities of Bluebell Haven Care and the organisation will be stated in the applicable staffing agreement.
6. No guarantee of availability
All services are subject to:
-
location;
-
workforce and candidate availability;
-
the type of support requested;
-
service boundaries;
-
timing and duration;
-
required experience or checks;
-
safety considerations; and
-
Bluebell Haven Care’s operational capacity.
We do not guarantee immediate, urgent or same-day support unless we have expressly confirmed it in writing.
We may offer alternative times, workers, candidates or arrangements where the original request cannot be met.
7. Your authority to make an enquiry
You must be at least 18 years old to enter into a paid service agreement with Bluebell Haven Care.
Where you make an enquiry or enter into an agreement on behalf of another person or an organisation, you confirm that:

you have the authority to do so;
-
the information you provide is accurate;
-
you are entitled to share the information with us; and
-
you will inform the person or organisation of relevant service information, responsibilities and privacy arrangements.
Where appropriate, we may ask for evidence of your authority before discussing confidential information or accepting instructions.
8. Information you provide
You must provide information that is accurate, complete and not misleading.
You must tell us promptly if there is a material change in:
-
the person’s support needs;
-
mobility or communication requirements;
-
known risks;
-
the home or working environment;
-
access arrangements;
-
the requested duties;
-
medication-related needs;
-
behaviour that may present a risk;
-
the proposed schedule;
-
the identity or authority of a representative; or
-
any other information that could affect safety or service suitability.
Bluebell Haven Care may rely on the information provided when deciding whether and how a service can be delivered.
We will not be responsible for consequences caused by important information being deliberately withheld or inaccurately presented, except to the extent that we have independently identified or should reasonably have identified the relevant issue.
9. Initial website enquiries
Website forms are provided for initial enquiries only.
You should not submit unnecessary sensitive or confidential information through a general website form, including:
-
complete medical records;
-
detailed care plans;
-
identity documents;
-
bank or payment-card details;
-
passwords;
-
criminal-record certificates;
-
confidential incident reports; or
-
information identifying service users who are not relevant to the initial enquiry.
Where further sensitive information is genuinely needed, we will explain an appropriate method for providing it.
Submitting an enquiry does not:
-
commit you to purchasing a service;
-
commit Bluebell Haven Care to accepting the request;
-
guarantee a worker or candidate;
-
reserve a particular time or worker; or
-
create an employment or agency relationship.
10. Assessment and acceptance of services
Before accepting a service, we may arrange an initial conversation, assessment, meeting or information review.
We may decline or postpone a request where:
-
it falls outside our service scope;
-
the required worker or skills are unavailable;
-
the arrangement would be unsafe;
-
appropriate information has not been provided;
-
the location is outside our current service area;
-
the requested activities may be unlawful;
-
the request would place a worker or another person at unreasonable risk;
-
the request requires a regulated or professional service that we are not authorised to provide; or
-
we reasonably believe we cannot meet the requirement safely and appropriately.
Where possible, we will explain the reason clearly and respectfully.
11. Service planning and agreed duties
Only duties that have been discussed and agreed may be undertaken.
You must not ask a Bluebell Haven Care worker to:
-
perform tasks outside the agreed service;
-
undertake personal care or clinical activities that are outside the worker’s authorised role;
-
administer medication unless this has been expressly agreed and lawfully arranged;
-
use unsafe equipment;
-
perform unsafe lifting or manual handling;
-
engage in unlawful activity;
-
provide false records;
-
conceal an accident, incident or safeguarding concern;
-
accept undisclosed cash payments;
-
provide services privately in a way that circumvents an existing Bluebell Haven Care agreement; or
-
work in conditions that present an unreasonable risk.
Any requested change must be discussed with Bluebell Haven Care before it is treated as part of the agreed service.
12. Access to the home or service location
Where a service is delivered at a home or other location, you are responsible for providing:
-
accurate access instructions;
-
a reasonably safe environment;
-
information about known hazards;
-
appropriate lighting and basic facilities;
-
safe and suitable equipment where required;
-
information about pets, smoking or other environmental factors;
-
parking or access information where relevant; and
-
a respectful environment free from abuse, harassment and discrimination.
If a worker cannot gain access at the agreed time, the visit may be treated as a late cancellation or missed visit under the Refund Policy or relevant service agreement.
Bluebell Haven Care may suspend or end a visit where the environment presents an immediate safety risk.
13. Respectful treatment and conduct
Bluebell Haven Care is committed to dignity, inclusion and respectful relationships.
Clients, representatives, family members, visitors, organisations and workers must not engage in:
-
violence or threats;
-
intimidation;
-
harassment;
-
discriminatory conduct;
-
sexual harassment;
-
exploitation;
-
deliberate humiliation;
-
abusive communication;
-
coercion;
-
retaliation against a person who raises a concern; or
-
conduct that places another person at risk.
We may take immediate protective action, remove a worker, suspend a service or terminate an arrangement where serious misconduct or a safety concern arises.
Where reasonably possible, we will explain the decision and consider whether a safe transition or alternative arrangement is appropriate.
14. Safeguarding
Bluebell Haven Care takes concerns about abuse, neglect, exploitation and unsafe practice seriously.
Where a safeguarding concern arises, we may:
-
speak with the person concerned;
-
record relevant information;
-
contact an authorised representative;
-
take immediate steps to reduce risk;
-
inform the relevant local authority safeguarding team;
-
contact the police, emergency services or another appropriate authority;
-
share relevant information where permitted or required by law; and
-
cooperate with an investigation.
Where possible and appropriate, we will consider the person’s wishes, rights, safety and individual circumstances.
Confidentiality cannot be guaranteed where withholding information would place a person at serious risk or prevent us from meeting a legal safeguarding obligation.
15. Emergencies
Bluebell Haven Care is not an emergency service.
Our website forms and general email inbox are not continuously monitored.
For immediate danger or a life-threatening emergency, call 999.
For urgent medical help that is not life-threatening, use NHS 111 online or call 111.
You should not delay contacting an emergency or statutory service while waiting for a response from Bluebell Haven Care.
16. Workers, candidates and replacements
We will take reasonable steps to provide or introduce a person who meets the agreed requirements.
However, worker and candidate availability can change because of illness, emergencies, withdrawal, resignation, scheduling difficulties or other circumstances outside our reasonable control.
Where a confirmed worker becomes unavailable, we may:
-
offer a suitable replacement;
-
rearrange the service;
-
agree an alternative time;
-
provide an account credit; or
-
refund the amount paid for the part of the service that could not be provided.
Any replacement remains subject to suitability, applicable checks and availability.
A client or organisation does not have to accept a proposed replacement where there is a reasonable concern about suitability, although cancellation terms may depend on the circumstances and the applicable agreement.
17. Checks and screening
The checks completed for a particular worker or candidate will be stated in the relevant service information or agreement.
Depending on the role, these may include:
-
identity confirmation;
-
right-to-work checks;
-
employment history;
-
references;
-
qualification or training checks;
-
professional registration checks;
-
Disclosure and Barring Service checks where applicable; and
-
other role-specific information.
Checks and screening help assess suitability but cannot eliminate every possible risk or guarantee future conduct.
We will not state that a check has been completed unless it has been completed or appropriately verified.
Clients and organisations must not assume that a particular check is included unless it is confirmed in writing.
18. Prices, quotations and fees
Prices and fees will be explained before a paid service begins.
Charges may be stated in:
-
a quotation;
-
service agreement;
-
booking confirmation;
-
staffing schedule;
-
introduction agreement;
-
rate card; or
-
invoice.
Unless otherwise stated, a quotation is based on the information available when it is issued.
We may revise a quotation before acceptance if:
-
the service requirement changes;
-
important information was not initially provided;
-
the hours, location or duties change;
-
additional checks or authorised third-party costs are required; or
-
the quotation contains an obvious error.
We will not add an undisclosed charge to a consumer service without agreement or another lawful basis.
Where VAT becomes applicable, it will be identified on the relevant quotation or invoice.
19. Payment
Payment arrangements will be stated in the applicable agreement or invoice.
You agree to:
-
pay valid charges by the stated due date;
-
use an authorised payment method;
-
provide accurate billing information;
-
raise any invoice query promptly; and
-
pay any undisputed portion of an invoice while a disputed portion is reviewed.
Workers should not be paid directly unless Bluebell Haven Care has expressly authorised this arrangement in writing.
Where a payment is overdue, we may:
-
contact you about the outstanding balance;
-
pause future bookings;
-
suspend a non-essential service after appropriate notice;
-
recover reasonable costs where permitted by law and the relevant agreement; or
-
terminate the arrangement in accordance with these Terms.
We will consider individual circumstances fairly before suspending support for a consumer, particularly where an abrupt withdrawal could create a foreseeable risk.
Separate late-payment provisions may apply to business customers under the staffing or recruitment agreement.
20. Cancellations and refunds
Cancellations, missed visits, advance payments and refund requests are governed by:
-
our Refund Policy;
-
the applicable service agreement;
-
the booking confirmation; and
-
any statutory cancellation rights.
Where the law gives a consumer a cancellation period, nothing in these Terms removes that right.
If you ask us to begin providing a service during an applicable cancellation period, you may be required to pay for the proportion of the service properly provided before cancellation.
Reasonable charges may apply to:
-
late cancellation;
-
failure to provide access;
-
authorised work already completed;
-
committed worker time;
-
completed stages of an introduction service; or
-
authorised third-party costs that cannot be recovered.
Any charge or deduction will be assessed in accordance with the applicable agreement, the actual circumstances and relevant legal rights.
21. Consumer rights and service standards
Where you are a consumer, Bluebell Haven Care will provide the agreed service with reasonable care and skill.
Information that we give you about the service may become binding where you rely on it when deciding to enter into the agreement.
Where a consumer service is not provided as agreed, available remedies may include:
-
correcting or repeating the service;
-
completing an outstanding part;
-
providing a suitable replacement;
-
reducing the price;
-
applying a credit; or
-
providing a partial or full refund.
The appropriate remedy will depend on the service, the issue, what has already been provided and the applicable law.
Nothing in these Terms limits your statutory consumer rights.
22. Business customers
An organisation purchasing staffing or recruitment services confirms that it is acting for business or professional purposes.
Consumer cancellation rights do not normally apply to business-to-business arrangements.
Business customers will be subject to the applicable staffing, recruitment or introduction agreement, which may include detailed provisions concerning:

rates;
-
timesheets;
-
invoicing;
-
late payment;
-
cancellation;
-
transfer fees;
-
introduction fees;
-
temporary-to-permanent engagement;
-
worker supervision;
-
direct engagement of introduced candidates;
-
confidentiality;
-
liability;
-
insurance;
-
termination; and
-
regulatory responsibilities.
No worker or candidate should be engaged directly in a manner intended to avoid an agreed introduction, transfer or recruitment fee.
Any such fee must be set out in the relevant written agreement and applied in accordance with applicable law.
23. Complaints and concerns
We welcome the opportunity to address concerns fairly and promptly.
A complaint may relate to:

service quality;
-
communication;
-
conduct;
-
an invoice;
-
a worker or candidate;
-
a missed or delayed service;
-
discrimination;
-
confidentiality;
-
safeguarding; or
-
another aspect of your experience.

Please include:

your name;
-
the relevant service;
-
the date or approximate date of the issue;
-
what happened;
-
any immediate risk or safeguarding concern; and

Complaints will be handled under our Complaints and Feedback Procedure.
Making a complaint does not affect your legal rights or prevent you from contacting an appropriate regulator, local authority, professional body or statutory service.
24. Data protection and confidentiality
We process personal information in accordance with our Privacy Policy and applicable data-protection law.
Our Privacy Policy explains:

-
the lawful bases we rely on;

who information may be shared with;

how long information may be retained;

how information is protected; and

the rights available to individuals.
You must only provide personal information about another person where you are authorised or otherwise lawfully permitted to do so.
Where Bluebell Haven Care and an organisation have separate data-protection responsibilities, these may be addressed in a service-specific agreement or data-processing arrangement.
25. Website information
We take reasonable care to keep the website clear and accurate.
However:

website information may not reflect every individual circumstance;

images may be illustrative;
-
general information is not a personalised assessment;
-
website content is not medical, nursing, clinical, legal, financial or employment advice; and

a service is not confirmed until it has been accepted in writing.
You should obtain appropriate professional advice where your circumstances require it.
26. Website availability
We aim to keep the website available and secure but cannot guarantee uninterrupted or error-free access.
We may temporarily restrict access to:

respond to circumstances outside our reasonable control.

30. Our responsibility to consumers
We are responsible for loss or damage that is a foreseeable result of our breach of contract or failure to use reasonable care and skill.
We are not responsible for loss that:

was not foreseeable when the contract was formed;

was caused by inaccurate or withheld information;
-
resulted from a person acting contrary to reasonable safety instructions;
-
arose from activities outside the agreed service;
-
was caused by a third party for whom we were not legally responsible; or
-
was a business loss arising from a consumer arrangement.
Nothing in these Terms excludes or limits liability for:

death or personal injury caused by negligence;
-
fraud or fraudulent misrepresentation;
-
breach of statutory rights that cannot legally be excluded; or
-
any other liability that cannot lawfully be excluded or limited.
31. Responsibility in business arrangements
Where services are supplied to an organisation, the allocation and limitation of liability will be governed by the applicable staffing or recruitment agreement.
No general website statement overrides a liability provision expressly agreed in a business-to-business contract.
Unless agreed otherwise, Bluebell Haven Care is not responsible for the hiring organisation’s:

workplace management;
-
local policies;
-
day-to-day supervision;
-
unsafe instructions;
-
failure to disclose risks;
-
employment decisions;
-
treatment of a worker;
-
failure to provide appropriate equipment or induction; or
-
failure to comply with its own legal or regulatory responsibilities.
32. Events outside reasonable control
Neither party will be treated as having breached the agreement where performance is prevented or materially delayed by an event outside its reasonable control.
Examples may include:
-
severe weather;
-
widespread transport disruption;
-
utility or communication failure;
-
epidemic or public-health restrictions;
-
civil emergency;
-
industrial action not limited to the affected party’s own workforce;
-
government action;
-
fire, flood or major property damage; or
-
another exceptional event that could not reasonably have been avoided.
The affected party must take reasonable steps to:
-
communicate the problem;
-
reduce disruption;
-
resume performance where possible; and
-
consider appropriate alternatives.
Where a prepaid consumer service cannot be provided, any refund or credit will be handled under the Refund Policy and applicable law.
33. Suspension or termination by Bluebell Haven Care
We may suspend or terminate a service where:
-
there is an immediate safety concern;
-
the service is being used unlawfully;
-
requested activities fall outside the agreed scope;
-
serious abuse, harassment or discrimination occurs;
-
important risk information has been withheld;
-
payment remains overdue after reasonable notice;
-
there is a serious or repeated breach of an agreement;
-
the working relationship has irretrievably broken down;
-
appropriate workers are no longer available; or
-
Bluebell Haven Care is no longer able to provide the service lawfully or safely.
Except where urgent action is required, we will normally:
-
explain the concern;
-
provide a reasonable opportunity to address it;
-
give any notice required by the service agreement; and
-
consider whether a safe and orderly transition is appropriate.
Charges remain payable for services properly delivered before termination.
34. Termination by you
You may end a service in accordance with:
-
the applicable notice period;
-
the service agreement;
-
the booking terms;
-
the Refund Policy; and
-
any statutory cancellation rights.
Where a service ends, you remain responsible for:
-
services already delivered;
-
valid charges arising during an agreed notice period;
-
authorised costs already incurred; and
-
any reasonable cancellation charge properly due.
35. Changes to services
We may make reasonable changes to a service where necessary to:
-
protect safety;
-
comply with law or regulatory guidance;
-
respond to a change in need;
-
replace an unavailable worker;
-
improve service quality; or
-
address circumstances outside our reasonable control.
We will discuss a material change with you before it takes effect where reasonably possible.
We will not materially reduce an agreed consumer service or increase an agreed price without an appropriate contractual or legal basis.
36. Changes to these Terms
We may update these Terms to reflect changes in:

our services;
-
operational arrangements;
-
website functions;
-
law or regulation;
-
security requirements; or
-
company information.
The latest version will be published on our website with an updated date.
Changes will not retrospectively remove rights or remedies that have already arisen.
Where a material change affects an ongoing service, we will provide appropriate notice and explain whether the service-specific agreement also needs to be updated.
37. Transfer of rights
You may not transfer your rights or obligations under a service agreement to another person without our written consent, except where the law permits otherwise.
Bluebell Haven Care may transfer its rights or obligations as part of a lawful business reorganisation, merger or transfer, provided that this does not reduce a consumer’s legal rights.
38. Third-party rights
Unless expressly stated otherwise, a person who is not a party to the relevant agreement does not have a right to enforce it under the Contracts (Rights of Third Parties) Act 1999.
This does not prevent an authorised representative from acting for a client where appropriate.
39. Severability
If any provision of these Terms is found to be unlawful, invalid or unenforceable, the remaining provisions will continue to apply.
The affected provision will be interpreted or adjusted only to the minimum extent necessary to make it lawful and enforceable.
40. No waiver
If either party delays enforcing a right, this does not mean that the right has been waived.
A waiver will only apply where it is clearly given and only to the particular circumstances for which it was given.
41. Governing law and jurisdiction
These Terms and consumer service agreements are governed by the laws of England and Wales.
A consumer may bring proceedings in the courts that have jurisdiction under applicable consumer law.
Business-to-business agreements will be subject to the governing-law and jurisdiction provisions stated in the applicable staffing or recruitment agreement.
